The specific scope, deliverables, timeline, and pricing of any engagement will be outlined in a separate service agreement, proposal, or invoice agreed to by both parties.

4. Use of Our Website

You agree to use our website only for lawful purposes and in a way that does not infringe the rights of others or restrict their use of the site. You agree not to:

  • Use the website in any way that violates applicable laws or regulations

  • Attempt to gain unauthorized access to our systems, accounts, or networks

  • Upload or transmit viruses, malware, or other harmful code

5. Account Access and Client Responsibilities

  • Grant the access permissions required for us to perform the work

  • Keep your account credentials secure and notify us promptly of any unauthorized access

  • Comply with the terms of service of each platform you sell on

  • Take responsibility for the accuracy of the product information, claims, and pricing you provide to us

You remain the account holder of record on all marketplaces and platforms. We act as an authorized service provider, not as the owner or operator of your accounts.

6. Fees and Payment

Fees for our services are agreed upon in advance and outlined in the service agreement, proposal, or invoice you accept. Unless stated otherwise:

  • Invoices are due on the date stated on the invoice

  • Recurring services, such as monthly retainers, are billed in advance for each billing cycle

  • Late payments may result in suspension of services until the account is brought current

  • All fees are exclusive of applicable taxes, which are your responsibility unless we are required by law to collect them

  • Payments are non-refundable except as expressly stated in the service agreement or required by law

We reserve the right to update our pricing for new engagements at any time. Existing agreements will continue at the agreed rates until renewal or amendment.

7. Refunds and Cancellations

Refund and cancellation terms are governed by the service agreement signed between you and Prime Shelf Digital. In general, completed work and time already spent on your project are not refundable. For monthly retainer services, you may cancel future months by providing written notice within the timeframe stated in your agreement. Any fees paid for the current billing period are not refunded for cancellations made mid-cycle.

8. Intellectual Property

All content on our website, including text, graphics, logos, images, software, and design elements, is owned by Prime Shelf Digital or our licensors and is protected by intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from our content without our prior written permission.

For client work, ownership of deliverables transfers to you upon full payment of the related invoice. We retain the right to use general knowledge, techniques, and non-confidential portfolio examples of work completed, unless otherwise agreed in writing.

9. Client Provided Materials

You confirm that any materials you provide to us, such as product images, brand assets, copy, trademarks, or other content, are either owned by you or properly licensed for the use intended. You agree to indemnify and hold us harmless from any claims related to materials you supply.

10. Results and No Guarantees

E-commerce performance depends on many factors outside our control, including marketplace algorithms, competition, product quality, pricing, inventory levels, market demand, and platform policy changes. While we apply professional expertise and proven methods to help grow your sales, we do not guarantee specific results, rankings, traffic levels, conversion rates, or revenue outcomes. Any examples, case studies, or projections we share are illustrative and not promises of similar results.

11. Third Party Platforms

Our services involve working with third-party platforms such as Amazon, Walmart, eBay, Etsy, Shopify, TikTok Shop, advertising networks, and software tools. These platforms operate independently of us and may change their policies, features, fees, or availability at any time. We are not responsible for actions taken by these platforms, including account suspensions, listing removals, ad disapprovals, or service outages.

12. Disclaimer of Warranties

Our website and services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. 13. Limitation of Liability
